1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Votriz Inc. ("Votriz," "we," "us," or "our") governing your access to and use of the Votriz platform, including our website at votriz.com, our web application at app.votriz.com, our API, and any associated mobile applications (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2 Description of Service

Votriz is an AI-powered brand presence management platform that provides:

• AI-generated content creation for social media platforms
• Brand monitoring and internet presence tracking
• Social media account management and publishing
• Analytics, reporting, and performance insights
• Automated content scheduling and approval workflows
• Competitive intelligence and opportunity detection

The Service is offered under four subscription tiers: Signal, Presence, Command, and Dominion. Features available to you depend on your subscription tier.

3 Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You agree to:

• Provide truthful and accurate registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account
• Not create accounts using automated means or under false pretenses

You must be at least 16 years of age to create an account. By registering, you represent that you meet this age requirement.

4 Subscription & Billing

Subscription Plans

Votriz offers the following subscription tiers:

• Signal — $29/month (Influencers & Creators)
• Presence — $99/month (Individual Businesses)
• Command — $399/month (Agencies)
• Dominion — Custom pricing (Enterprise)

Billing Terms

• Subscriptions are billed monthly or annually in advance
• All fees are in US Dollars and are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in service suspension or termination

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the paid period.

5 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to create, publish, or distribute spam, misleading content, or disinformation
• Impersonate another person, brand, or entity without authorization
• Use the Service to harass, threaten, or harm others
• Attempt to gain unauthorized access to other accounts or systems
• Use the Service to violate any applicable laws or regulations
• Violate the terms of service of any connected social media platform
• Use automated means to access the Service in ways that exceed normal usage
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Resell or sublicense access to the Service without written authorization

6 Social Media Integrations

Votriz enables you to connect and publish to third-party social media platforms. By connecting these platforms, you acknowledge that:

• You are solely responsible for all content published to connected platforms through Votriz
• You must comply with each platform's terms of service, community guidelines, and applicable laws
• You authorize Votriz to act as your agent to publish approved content on your behalf
• You grant Votriz the permissions necessary to publish content and retrieve analytics from connected accounts
• Votriz is not responsible for changes to third-party platform APIs or policies that may affect functionality

All content publishing through Votriz requires explicit human approval. Votriz will never automatically publish content without your consent.

7 Intellectual Property

Your Content

You retain all ownership rights to content you create, upload, or publish through the Service. By using the Service, you grant Votriz a limited, non-exclusive license to process your content solely to provide the Service to you.

AI-Generated Content

Content generated by Votriz's AI tools based on your brand data and instructions is provided to you for your use. You are responsible for reviewing, approving, and taking ownership of any AI-generated content before publishing.

Votriz Platform

The Votriz platform, including its software, design, algorithms, and documentation, is owned by Votriz Inc. and protected by intellectual property laws. You may not copy, modify, or create derivative works of the platform.

8 AI-Generated Content

You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or inappropriate suggestions
• You must review all AI-generated content before approving it for publication
• Votriz does not guarantee the accuracy, quality, or suitability of AI-generated content
• You bear full responsibility for content you approve and publish

9 Privacy & Data

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

You may request deletion of your data at any time through our Data Deletion page.

10 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Votriz does not warrant that the Service will be uninterrupted, error-free, or free of viruses. We do not guarantee specific results from use of the Service, including but not limited to follower growth, engagement rates, or brand awareness.

11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOTRIZ INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to Votriz in the twelve months preceding the claim.

12 Termination

Either party may terminate these Terms at any time. We may suspend or terminate your account immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Cause harm to other users or Votriz

Upon termination, your access to the Service will cease. You may export your data within 30 days of termination. After 30 days, your data will be permanently deleted.

13 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You waive any right to participate in class action lawsuits or class-wide arbitration against Votriz.
